NOTICE OF EXTRAORDINARY GENERAL MEETING

NOTICE OF EXTRAORDINARY GENERAL MEETING

Please be informed that an Extraordinary General Meeting has been called as follows;

Date : 21st August, 2010 (SATURDAY)

Time : 5.00 p.m.

Venue : The Saujana Resort, Jalan Lapangan Terbang SAAS, 40150 Shah Alam

 

 AGENDA

1) To approve the new membership-entrance regulations of the Institute as was proposed by Mr. Chan Pak Kuen and seconded by Mr. Chan Von Lian, and

2) To approve the change of correspondence address of the Institute was proposed by Mr. Chan Von Lian and seconded by Ms. Khaw Pei Chin (Sharon).

The previous rules and regulations were lodged with the Registrar of Societies (ROS) in 2008.  Since then there has been many amendments made to the constitution.  This exercise is to streamline the constitution to reflect on the present day situation. 

 

DESCRIPTION - (changes/ additions in blue)

1st Agenda: Membership entrance

MPRIM

Senior members either Polymer or Non-polymer based graduates from recognized universities and institutions who have been working continuously for a minimum period of at least 8 [eight] years holding senior management position or at least Head of a section or department in the polymer industry should join as full member rather than associate member.

 

FPRIM

FPRIM is proposed to open for application with the rules and regulations as follows:-

The FPRIM is the Institute’s most senior award indicating that the holder has procured considerable eminence or standing as a member who *(has played an active role or has contributed to the plastics/rubber industry.) At least 35 years of age.

*… has contributed significantly to the Plastics & Rubber Institute Malaysia or other institutions in the development of polymer science and technology, or to the development of the polymer industry, and

*… who have been admitted to MPRIM continuously for a minimum period of FIVE years, and

*….. whose leadership has inspired and guided others to attain respectable careers in polymer education or research in the polymer industry.

 

2nd Agenda: Change of address

This is a requirement of ROS to change the old address registered in 2008 constitution to our PRIM building’s address.

A copy of the proposed new constitution would be posted on our website www.prim.org.my for viewing and comments.

Download Proposed amendments to clauses of PRIM Constitution

EGM held on 28th June 2008 - Constitution Adopted

By 2pm, having achieved the quorum to proceed with the EGM, PRIM President Mr Chan Pak Kuen explains that the PRIM Constitution officially held by the Registrar of Societies was submitted in 1986 and has now contained many amendments. This EGM was called to submit tan updated Constitution to streamline all the said amendments.

In addition the following clauses were added to the Constitution. 

5.3 Any member of the committee absenting himself from three or more consecutive meetings of the committee without having given prior notice to the President or the Honorary Secretary, shall be deemed to have vacated his seat on the committee, and the committee may proceed to fill the vacancy. 

Purpose: Included to ensure that only those who genuinely have the interest of PRIM at heart would serve on the Management Committee.

7.6 In accordance with the Societies Act, if a non-Malaysian citizen is elected to the Management Committee, his post would only be confirmed after approval has been granted by the Registrar of Societies.

Purpose: To comply with the requirements of the Registrar of Societies (ROS)

7.7 Student members will not be entitled to any voting rights. No more than one member under the age of 25 years old may be elected into the Management Committee and such member may not serve as an Officer.

Purpose: To ensure that those who are experienced and fully understand the objectives and purpose of PRIM are responsible for the management of the institute and to prevent “hijack” of the management by those who have other motives. Student members are also temporary members for a few years before they become full-fledge members after graduation.

The adoption for the proposed Constitution was unanimously accepted by all members present via a show of hands.

Hon Secretary Von Chan will submit the adopted Constitution to the ROS in due course.
